Competition to drive first time buyer acquisition to TakealotNOW on Mr D

Successfully shop ‘TakealotNOW’ on the www.mrd.com/www.mrdfood.com website (including the Mr D desktop site and related Mr D mobi-sites and software applications, and related Android and iOS smartphone applications) (“TakealotNOW”) for the first time and stand a chance to win one of four prize hampers valued at R10,000.00 each (i.e. only four prize hampers available in total and each not transferable nor refundable, and may not be exchanged for cash), in each case as described further below (“TakealotNOW Prize(s)”) and subject at all times to the further terms and conditions of this promotional competition (collectively “Competition”).

1. Promoter: This Competition is promoted by Takealot Online (RF) (Pty) Ltd (reg. no. 2010/020248/07) (“Takealot”, “us”, “we” or “our”) and supported by Mr Delivery (Pty) Ltd trading as Mr D (reg. no. 1992/004664/07) (“Mr D”).

2. Competition Period: This Competition runs from 09h00 on 16 December 2024 until 23h59 on 10 January 2025 (collectively “Competition Period”). No entries will be accepted after the end of the Competition Period.

3. Who can enter/participate: You are entitled to enter and participate in this Competition ONLY IF:

1. you are a natural person who is at least 18 years old and resides in South Africa, and you are a first-time buyer on TakealotNOW, and you have opted in to receiving direct marketing communications from Mr D (including via email) (“First-time Buyer(s)”, “you”, “your”); and

2. you have a valid Mr D account that is in good standing, and it is otherwise lawful for you to be awarded the particular prize.

You may NOT enter and participate if you do not meet the aforesaid criteria in full nor if you are a supplier of goods or services in connection with this Competition, nor if you are a director, member, partner, employee, agent of, or consultant to Takealot, Mr D or any other entity which directly or indirectly controls or is controlled by Takealot or Mr D, nor if you are any of the aforementioned persons’ spouse, life partner, parent, child, brother, sister or business partner, nor if you have made any TakealotNOW purchase at any time prior to the start of the Competition Period.

4. How to enter/participate: This Competition is run on TakealotNOW and you will need to have a valid Mr D account that is in good standing to enter and participate. To enter and participate you must, during the Competition Period and strictly as a First-time Buyer, log in to your valid Mr D account and successfully shop TakealotNOW (i.e. complete in full your TakealotNOW purchase within the Competition Period). Each qualifying entry following the aforesaid steps and successfully received by Mr D (collectively “Qualifying Entry(ies)”), will be automatically entered into the corresponding draw for a chance to win one of the TakealotNOW Prizes. Note that should you at any stage act in contravention of or otherwise not comply with section 3, section 5 or any other section herein, your entry will be withdrawn from this Competition.

5. Content of your participation/entry: Your entry may not:

1. contain any foul language, obscenities, defamation, hate speech or any other content we deem inappropriate in our sole discretion; nor

2. contain any content which may be harmful to Takealot, Mr D or any associated companies in any way; nor

3. infringe the intellectual property or other rights of Takealot, Mr D or any associated companies or any third party.

We reserve the right to instruct Mr D to remove entries which we deem to be in contravention of this section 5 howsoever and whatsoever, in our sole discretion.

6. How many times you can enter/participate: You may enter this Competition (i.e. as described in section 4) only once during the Competition Period.

7. Entry fees: There are no entry fees to enter and participate in this Competition, and no additional charges involved in acting as set out in section 4.

8. Winners and Prizes: Four different winners will be randomly selected from the successful Qualifying Entries received (i.e. four different winning First-time Buyers in total), after the end of the Competition Period and in accordance with the remaining provisions of this section 8.

1. The four different winners will be chosen from the successful Qualifying Entries received, as follows:

1. In the week of 13–17 January 2025, Mr D will provide the corresponding anonymised order IDs to Takealot, and Takealot will randomly select four different winners from those anonymised order IDs and by way of random draw.

2. Also in the week of 13–17 January 2025, Mr D will contact each of those particular winners and, after obtaining their consent in the form of a completed Competition release/indemnity form, will provide their necessary personal information to Takealot.

3. As soon as possible thereafter, Takealot will contact each such consenting winner by way of direct message via their email address confirmed in the corresponding completed Competition release/indemnity form. We will then send another direct message to request and validate their participant information (including name, surname, email address, ID number, delivery address, telephone number, etc.) (collectively “Participant Information”). We will make two direct attempts to obtain such information. Once we have received the Participant Information and validated the particular consenting winner (“Validated Winner(s)”), we will allocate/deliver or otherwise arrange delivery of their corresponding prize to them as soon as possible thereafter, subject to section 10. Proof of identity and a completed Competition release/indemnity form will be required for each Validated Winner.

2. Each Validated Winner will receive one of the following TakealotNOW Prizes (i.e. the particular TakealotNOW Prize will be randomly selected by us as well):

1. a prize hamper comprised of PlayStation 5 Slim Digital Edition Console (PS5 Slim) or

2. a prize hamper comprised of  Marshall Woburn III Bluetooth Speaker or

3. a prize hamper comprised of Smeg breakfast combo or

4. a prize hamper comprised of Philips 5400 Series Fully Automatic Espresso Machine.

3. Validated Winners will be selected from those participants who have taken the steps set out in section 4 and who are in compliance with these terms and conditions by way of random draw, at our sole discretion. Regarding the application of these terms and conditions, including (without limitation) the selection of a Validated Winner and their corresponding TakealotNOW Prize in terms hereof, our decision is final and no correspondence will be entered into other than with the Validated Winners.

9. Disqualification of Validated Winner: There are certain situations in which a Validated Winner will be disqualified from receipt and usage of their corresponding TakealotNOW Prize, namely and to the extent applicable as determined in our sole discretion:

1. they cancel or return the applicable qualifying purchase within seven days of delivery to the Validated Winner, and such cancellation or return is not a ‘Not what you ordered?’, ‘Products damaged on delivery’ or ‘Defective products’ return; or

2. they fail to provide us with their Participant Information within 72 hours of it being requested by us for the second time; or

3. in anticipation of delivery of the corresponding TakealotNOW Prize, they refuse to or cannot provide reasonably sufficient documentation to verify their identity, or we’re otherwise unable to validate them, or Mr D is otherwise unable to verify their Mr D account; or

4. they are found to have contravened any other term or condition set out herein.

In the event of disqualification of a particular Validated Winner, we will be entitled in our sole discretion to select another Validated Winner from amongst the Competition participants, or to not award that particular prize at all.

10. Use of participant and winner information: By participating in this Competition, you consent to the use by Takealot and Mr D, or a third party nominated by Takealot of your Participant Information, so that you can be announced as a Validated Winner and the corresponding TakealotNOW Prize can be allocated/delivered to that Validated Winner. The particular Validated Winner may also be asked to permit the use generally of their image in marketing material, to participate in marketing activities, to permit Takealot and Mr D the use of the image uploaded in marketing material, and/or to be present when the relevant draw is taking place or they are announced as a Validated Winner, but they will be entitled to decline to do so. By entering this Competition, you consent that Takealot and Mr D can use the contents of the Competition submission / your winning Qualifying Entry for marketing purposes generally.

11. Unforeseen events: In the event of unforeseen circumstances or causes beyond our reasonable control, we reserve the right to cancel this Competition (before entries are received), to change the number or nature of the prize at any time (on notice to you), or to change the terms and conditions of this Competition at our sole discretion (provided that, unless required due to such aforesaid unforeseen circumstances or causes beyond our reasonable control, we will not change the conditions for participation or conditions for being awarded the particular prize, as stated herein).

12. Terms and conditions: By participating in this Competition, you agree to all the Competition terms and conditions set out above, and the following:

1. the Takealot Privacy Policy (accessible at https://www.takealot.com/help/privacy-policy) and Takealot Terms and Conditions relating to Gift Vouchers and Coupons (as applicable and accessible at https://www.takealot.com/help/promotional-codes-tcs), without exception; and

2. the Mr D Food Privacy Policy (accessible at https://www.mrdfood.com/privacy-policy) and Mr D general terms and conditions at https://www.mrd.com/about/terms, without exception.
